I’ve largely ignored a steady stream of announcements by China’s big 4 state-run banks these past few weeks, but the latest plans released on the same day from 2 of those seemed like a good opportunity to finally focus on this exercise that could soak as much as 400 billion yuan ($63 billion) from the market. My main reason for ignoring the announcements was mostly because they were too numerous to write about individually, and also because much of the fund raising was expected. ICBC Boosts Europe Presence With Standard Bank Buy

ICBC buys Standard Bank’s London trading unit

The Year of the Snake is ending with a bang for outbound Chinese M&A, with word that leading lender ICBC (HKEx: 1398; Shanghai: 601398) is buying a controlling stake of the European trading unit of South Africa’s Standard Bank for $765 million. This year-end mega-deal comes the same day as another blockbuster deal was announced, which had PC giant Lenovo (HKEx: 992) saying it would buy faded cellphone titan Motorola for $2.9 billion. (previous post) But these 2 deals don’t really share very much besides the fact that both are large outbound purchases by Chinese companies, and I have to say the ICBC deal easily looks like my favorite among the pair. After living in China for a while, one comes to realize that new trends among big state-owned enterprises often happen quickly and in waves in response to directives from Beijing. That looks like the case among the nation’s big 4 lenders, with word that China Construction Bank (CCB) (HKEx: 939; Shanghai: 601939) is in late stage talks for its first major global acquisition of a bank in Brazil. CCB Joins Capital Raising Queue — Again 建行获准发行400亿元人民币次级债

The near non-stop capital raising by major Chinese banks is showing no sign of slowing, with China Construction Bank (HKEx: 939; Shanghai: 601939) announcing yet another new plan to sell up to 40 billion yuan, or $6.5 billion, in subordinated debt to shore up its balance sheet. Similar to most recent cases, these bonds will be sold into the inter-bank bond market for domestic buyers, meaning that big state-backed institutions are likely to pay most of the bill for this latest recapitalization of a major Chinese bank, most of which are standing on the cusp of a major bad-loan crisis.

CCB Explores Overseas Step to Indonesia

The conservative China Construction Bank (HKEx: 939; Shanghai: 601939), the nation’s second largest lender, may be preparing to take its first big steps onto the global stage, with an Indonesian deal that looks interesting though a bit risky. Media are reporting that the bank is in talks to buy a stake in closely held PT Bank Maspion Indonesia, whose owners want to sell more than 50 percent. (English article) The news comes not long after reports  that CCB’s bigger rival, ICBC (HKEx: 1398; Shanghai: 601398), was in talks to buy a controlling stake in the Argentine unit of South Africa’s Standard Bank for $700-$800 million, as China’s largest lenders, with encouragement from Beijing, seek to spread their wings beyond their protected home market. (previous post) At first glance the potential CCB deal looks interesting. Indonesia is a developing market with many similar characteristics to China, which would allow CCB to leverage its experience to do business there. What’s more, PT Bank looks very manageable in terms of its size, with a modest value of around $200 million. My major concern comes in terms of regulation. According to the media reports, Indonesia is currently considering legislation that would limit foreign shareholders to holding minority stakes in banks. If PT Bank Maspion were a large lender with an experienced management team, this restriction might be less worrisome. But considering its smaller size, the lack of majority control could severely limit CCB’s ability to manage this new asset if it ended up buying a stake, restricting it to the role of a largely passive investor as its Indonesian management ran the show. That said, perhaps CCB would be better off as a more passive investor for its first major purchase abroad, allowing it to become more familiar with doing business outside China while leaving day-to-day business to locals who know the market better. On the whole, I would weigh in as neutral on this deal, which looks like a relatively risky but manageable first step onto the global stage for CCB.

Bottom line: CCB’s potential purchase of a minority stake in a mid-sized Indonesia lender looks like a risky but manageable first step for the bank onto the global stage.
